11. Termination

11.1 Termination by Either Party

Either party may terminate the service agreement with written notice. The notice period required depends on the nature of the engagement:

  • Project-based engagements: Immediate termination possible with payment for work completed
  • Ongoing consultation: 30 days written notice
  • Retainer arrangements: As specified in the retainer agreement

11.2 Termination for Cause

We may terminate services immediately if:

  • Payment obligations are not met
  • Client provides false or misleading information
  • Client requests services outside our professional scope
  • There is a breach of confidentiality obligations

11.3 Effect of Termination

Upon termination:

  • All outstanding fees become immediately due
  • We will return or destroy confidential information as requested
  • Confidentiality obligations remain in effect
  • Work product completed and paid for transfers to the client

12. Prohibited Uses

You may not use our Service:

  • For any unlawful purpose or to solicit others to perform illegal acts
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances

  • Pandemics, epidemics, or public health emergencies
  • Labor strikes or industrial action
  • Failure of internet, telecommunications, or power systems
  • Failure of third-party service providers

In such circumstances, we will make reasonable efforts to resume normal service delivery as soon as practicable.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. The invalid or unenforceable provision will be replaced with a valid provision that most closely matches the intent of the original provision.

17. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

  • Sending email notification to registered users
  • Providing notice during active service engagements

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

18. Entire Agreement
